Terms of Use

1. Who can use Speeqr

You must be at least 16 years old to use Speeqr. If you use Speeqr on behalf of an organisation, you confirm that you are authorised to accept these Terms for that organisation, and "you" includes the organisation.

2. Early access

Speeqr is in early access. Features may change, be added or be removed, and the Service may occasionally be unavailable while we improve it. We will try to give notice of significant changes, but we cannot guarantee that every feature will remain available.

3. Your account

• Give accurate information when you sign up, including your name and phone number.
• Keep access to your account secure. You are responsible for activity on your account.
• Tell us right away at hey@speeqr.com if you think someone has accessed your account without permission.

Guests can join calls from a phone browser by QR code or room code without an account.

4. Fees

Speeqr is currently provided without charge. If we introduce paid plans, we will show you the price and terms before you are charged, and you will not be charged without agreeing to them.

5. Using Speeqr responsibly

You agree not to use Speeqr to:

• break any law or regulation
• record, transcribe or share a call, or capture it by any other means, without the consent the law requires from the other participants
• harass, threaten, abuse or impersonate anyone
• share content that is illegal, infringes someone else's rights, or exploits or harms children
• send spam or unsolicited calls, or dial numbers you are not entitled to call
• gain unauthorised access to the Service, other accounts or our systems
• interfere with, overload or disrupt the Service, or test its security without our written permission
• copy, reverse engineer or resell the Service, except where the law allows

As a call host, you are responsible for who you invite and for how your call is used.

6. Calls, phone numbers and external meetings

• Room codes are for the people you choose to invite. Anyone with an active room code or QR code can join the call, so share them only with intended participants. You can lock a room or end it for everyone.
• Phone numbers: when you dial a phone number into a call, you confirm you have the right to call that number. The person you call may be charged by their own carrier according to their plan.
• External meetings: when you connect a Zoom, Microsoft Teams, Webex or VooV meeting, your use of that service is governed by its own terms, and we are not responsible for it.

7. Your content

You own what you share through Speeqr, such as your name, profile picture, audio, video, screen shares and chat messages ("Your Content"). You give us permission to transmit and display Your Content only as needed to run the Service, for example showing your name and picture to other participants. We do not record calls, and we do not use Your Content for advertising.

You confirm that you have the rights needed to share Your Content and that sharing it doesn't break these Terms or the law.

8. Our rights

Speeqr, including our software, design, logos and the name "Speeqr", belongs to Speeqr Limited and is protected by intellectual property laws. These Terms give you a personal, non-exclusive, non-transferable right to use the Service as intended. They do not give you any other rights in it.

If you send us feedback or suggestions, we may use them without owing you anything.

9. Privacy

Our Privacy Policy explains how we collect and use personal information. It forms part of these Terms.

10. Suspension and termination

You can stop using Speeqr and delete your account at any time.

We may suspend or close your account, or restrict access to the Service, if you break these Terms, if your use creates risk or legal exposure for us or others, or if we stop offering the Service. Where reasonable, we will tell you first and give you a chance to fix the problem.

Sections 7 to 14 continue to apply after your account ends.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we make no warranties of any kind, express or implied, including that the Service will be uninterrupted, error-free or suitable for a particular purpose. Call quality depends on factors outside our control, including networks, devices and third-party services.

Speeqr is not a replacement for a telephone service and cannot be used to contact emergency services. Always use a regular phone to reach emergency services.

12. Limitation of liability

To the fullest extent permitted by law:

• we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data, business or goodwill
• our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim, or USD 100

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.

13. Indemnity

If you use Speeqr in breach of these Terms or the law and that causes a claim against us, you agree to cover our reasonable losses and costs from that claim, to the extent permitted by law.

14. Governing law and disputes

These Terms are governed by the laws of the Cayman Islands. The courts of the Cayman Islands have jurisdiction over any dispute relating to them. If you are a consumer, you also keep any protections and rights to bring proceedings that the law of your country gives you.

Before starting any formal proceedings, please contact us at hey@speeqr.com so we can try to resolve the problem informally.

15. Changes to these Terms

We may update these Terms as Speeqr develops. If we make significant changes, we will tell you through the Service or by email before they take effect. If you keep using Speeqr after the changes take effect, you accept the updated Terms.

16. General

If any part of these Terms is found unenforceable, the rest stays in effect. If we don't enforce a right, we have not waived it. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a reorganisation, merger or sale of the business. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
